Hugh Baker is president of Hunt Power.


He is responsible for strategy, management and business development of the organization. Baker was one of the firm's first employees and, during his previous role as a vice president of the firm, he managed several projects, including the founding of Sharyland Utilities, the first new electric utility in the State of Texas in more than 30 years. In connection with that effort, he submitted testimony before the Public Utility Commission of Texas, and participated in virtually every aspect of the formation of the new utility company. Baker has also managed the development of the energy-efficient commercial building product for real estate users. Baker has led and/or been involved in Hunt Power's efforts in cogeneration project development, power plant permitting, metering products, and energy information services. Baker has also worked on several of the firm's acquisitions, joint ventures, and energy venture capital activities.

Prior to joining Hunt Power in 1998, Baker had a successful 17-year career as a consultant to utilities, energy marketing firms, law firms, and national trade associations. His consulting experience has spanned most of the major electric reliability regions in North America and includes wholesale power sales and purchasing, retail energy purchasing, utility mergers and acquisitions, wholesale and retail rates, economic feasibility analyses, system planning studies and litigation support/expert witness services. Baker has generated many notable consulting successes, including a nuclear power plant litigation settlement, testimony before the Federal Energy Regulatory Commission in several of the first open access transmission cases, power plant joint ownership agreements, hydroelectric power pooling agreements and numerous wholesale power transaction negotiations.

Baker received a bachelor of electrical engineering degree from the Georgia Institute of Technology and a master of business administration degree from Georgia State University. He is a registered professional engineer in California and Virginia. Baker has authored industry articles and spoken at energy and real estate conferences. He has testified before the Federal Energy Regulatory Commission, the Public Utility Commission of Texas, the South Carolina Public Service Commission, and in several civil litigation proceedings. In 1992, Baker was appointed by the chairman of the New York Mercantile Exchange as a member of the NYMEX Electricity Futures Advisory committee.

Dr. Edgard Habib — Chief Economist at ChevronTexaco


A native of Lebanon, Habib graduated from the University of San Francisco, Calif., with a bachelor's degree in political science and international finance in 1975. He then went on to earn an MPA in development economics and public finance; a doctorate in economics from The American University, based in Washington, D.C. In 1988, Habib joined Wharton Econometric Forecasting Associates (WEFA), in Washington, D.C., as vice president, Middle and Africa, responsible for directing research on country risk assessments for many major international clients. In this capacity, he performed numerous consulting projects and delivered client briefings worldwide. He was later named senior vice president and managing director, for WEFA's Washington operations, overseeing activities in Eurasia, Asia/Pacific, the Middle East and Africa. Habib established and maintained extensive client relations globally and developed corporate strategy for initiation and development of business opportunities for those clients.

In early 1997, Habib became a senior advisor for Mitsubishi Corp., based in Tokyo, on global petroleum markets and country risk assessment. He advised management on energy security and country risk issues to aid in developing long-term business growth opportunities for the company. In August 1997, he joined the International Energy Agency (IEA) of the Organization for Economic Cooperation and Development (OECD), based in Paris, as manager of their Middle East and Africa affairs. He advised industry and government representatives on world economy, country risk and oil security. He was spokesperson for OECD/IEA at many worldwide conferences, and was instrumental in developing institutional links for them in the Middle East, North Africa and Asia.

Habib joined Chevron as chief economist in October 2000, a position he maintained upon the formation of ChevronTexaco Corp., Oct. 9, 2001. He is a member of the American Economic Assoc., and the National Association for Business Economics.

Fred A. von Ahrens — Division Manager, Active Oxidants Division at FMC Corporation


Joined FMC in 1980. Appointed to current position in 2000. Previous positions include: Resident Manager — Baltimore, MD; Resident Manager — Lawrence, Kansas; Manufacturing Manager — Pocatello, Idaho; Resident Manager- Newark, CA. Holds BS Mechanical Engineering from NJIT.

Sheryl Ann Telford — Remediation Business Team Manager at DuPont


Sheryl Telford is Business Team Manager for DuPont's Corporate Remediation Group with responsibility for managing the company's environmental liability in the Northeast United States and South America as well as all former Remington operations. Prior to joining DuPont, Sheryl was an Environmental Policy Manager at PSEG in Newark where she directed the land use, waste and site remediation programs for the company's combined electric and gas businesses. Sheryl also worked in the Office of the Assistant Commissioner of Site Remediation in the New Jersey Department of Environmental Protection developing programs and policies for the Site Remediation and Waste Management programs, including the State of New Jersey's first Brownfields Law. Sheryl is currently chair of the NJ Site Remediation Industry Network and property owner chair of the New Jersey Chapter of the National Brownfields Association. Previously, Sheryl was a member of USEPA's Children's Health FACA, Co-Chair of NJDEP's Comparative Risk Project, and a member of NJDEP's Environmental Justice Advisory Committee. Sheryl has a Bachelors degree in Chemistry and Physics from Wheaton College, Norton, MA.

Andy Johnson — Executive Vice President at Blasland, Bouck & Lee


Andrew N. Johnson, P.E. has more than 25 years of experience in assisting major corporations in the management and implementation of their remediation programs. As Executive Vice President, Mr. Johnson has consulted to a number of multinational corporations on key organizational issues, best management practices, and metrics for corporate remediation programs. For the past 7 years, Mr. Johnson has led BBL's annual benchmarking programs focused on providing BBL's major multinational clients with information on their key environmental, health, and safety issues. These benchmarking programs also help organizations seek out the collective wisdom of their peers across a broad industry spectrum.

Through the implementation of BBL's client-focused program, Mr. Johnson has helped launch BBL's business growth and development to achieve its current market position as a leading environmental remediation consulting firm. Through this program, he has helped meet the unmet needs of target clients, and he has also helped to drive the development of new services that BBL offers our clients.

Mr. Johnson is a graduate of Lafayette College with a B.S. in Civil Engineering. He is a licensed professional engineer in 20 states.

Mark Brown — Senior Vice President at Blasland, Bouck & Lee


Dr. Mark P. Brown has more than 25 years of experience directing large water-quality projects. As Senior Vice President of Blasland, Bouck & Lee, Inc. (BBL), Dr. Brown manages BBL's contaminated sediments practice area that encompasses the investigation, assessment, and remediation of sediments at more than 40 different sites. Special concentrations include assessment of natural recovery; impacts and effectiveness of remedial technology for sediments; litigation support as an expert witness in successful defense of government cost recovery claims, as well as, third party CERCLA claims; and fate, transport, and effects of chlorinated organic chemicals in aquatic ecosystems. Located in our New Bedford, Massachusetts office, Dr. Brown is responsible for overseeing the growth of BBL's contaminated sediment practice. He has worked at a number of national, high-profile contaminated sediment sites, including the Fox River in Wisconsin, the Hudson River in New York, the Sheboygan River in Wisconsin, the Kalamazoo River in Michigan, and Choccolocco Creek in Anniston, Alabama.

Dr. Brown also authored the white paper, The Role of Natural Attenuation/Recovery Processes in Managing Contaminated Sediments, for the Sediment Management Work Group (SMWG). The white paper was presented by the SMWG to the USEPA as a recommended technical approach and was presented by Dr. Brown at the 1999 annual meeting of the Society of Environmental Toxicology and Chemistry.

Prior to joining BBL, Dr. Brown was a research scientist at the New York State Department of Environmental Conservation (NYSDEC). During his tenure at NYSDEC, he conducted research, site investigations, and risk assessments related to contaminated sediments, including impacts of PCBs in the Hudson River.

Dr. Brown graduated with a Bachelor of Science degree in biology from Manhattan College in 1975. He subsequently attended Fordham University, where he earned his Master of Science degree and a Ph.D. in biology. He is a member of the following associations:

Dhamo S. Dhamotharan, PhD., P.E. — Senior VP and East Division Manager at URS


Dhamo S. Dhamotharan, PhD., P.E. is Senior Vice President and East Division Manager for URS Corporation, one of the two divisions for the Americas in the firm. He is a member of the URS Operating Committee and has been with URS for 20 years with a total experience of 30 years in the industry both in the Private Sector and Public Sector. He works closely with a number of Fortune 500 companies in the role of Executive Sponsor for Alliances and Partnership programs. The services the company provides across the globe to the private sector and public sector clients include but not limited to: air pollution control, engineering, procurement and construction, air quality related studies, environmental remediation and engineering, process engineering, infrastructure, and water/wastewater related services. He is also a member of the Management Committee for Advatech, a joint venture between URS and MHI to perform FGD projects.

Dhamo obtained his PhD. in Civil/Environmental Engineering from the University of Minnesota where he was the recipient of the Alvin G. Andersen Award for Academic Excellence in Water Resources. He was a member of the research faculty for two years subsequent to his PhD. Dhamo obtained his BS and MS degrees in Civil Engineering from the University of Madras.

Dhamo is a member of the American Society of Civil Engineering and a member of the Board of Directors and Executive Committee of the Interstate Natural Gas Association of American (INGAA) Foundation. He served as the General Secretary of the American Water Resources Association (AWRA) from 1986 to 1988 and was Editor of HYDATA, one of AWRA's publications from 1982 to 1985. He is also a member of the External Advisory Board of the National Science Foundation's National Center for Earth and Surface Dynamics.

Linda Crompton — CEO at IRRC


Linda Crompton is the President and CEO of the Washington-based Investor Responsibility Research Center (IRRC), the world's leading source of impartial independent research on corporate governance, proxy voting and corporate responsibility.

Prior to this appointment, she founded Citizens Bank of Canada in January, 1997 and ran it until mid-2001 as Canada's first bank with a social mandate, offering all core financial services and products via ATM, a 24x7 telephone service center and the internet. Ms. Crompton had formerly served as Chief Executive Officer of Citizen's Trust Company (January 1995 through January 1997), Senior Vice President-Operations (1993-1995) and Vice President-Human Resources and Environment at Vancity Credit Union (from 1987-1993).

Ms. Crompton combines twenty five years of experience in business, finance and organizational strategy with a strong commitment to social issues and concern for the wider community. She is an outspoken proponent of corporate responsibility and ethical business practice, supporting the concept that the only successful businesses of the future will have a values-based approach to doing business. She holds a firm belief that corporations in general, and financial institutions in particular, need to do more to meet the growing expectations of a concerned public.

Known as a creative thinker and a dynamic leader, she has a track record of developing and implementing innovative policies and programs in all areas of company operations.

Ms. Crompton was born in the U.K., holds British and Canadian citizenship, and resides in Washington, DC. She holds a B.A. from Simon Fraser University (British Columbia), an M.A. from the University of British Columbia and an M.B.A. from the University of Kent at Canterbury (U.K.). She is a distance runner, avid traveler and pursues a special interest in the transformation of business in a socially relevant global economy. She is currently at work on a book on creating values-based corporations for the new millennium.

Anne-Maree O'Connor — Managing Director at CoreRatings/DNV


Anne-Maree O'Connor is the Managing Director of CoreRatings, a subsidiary of DNV Group specialising in Corporate Governance and Responsibility Ratings that provide a respected third party analytical and communications product for the Corporate and Investment sectors. Previously she has twelve years experience in the Asset Management industry managing analysis and research to support investors' Corporate Governance policies and a range of investment portfolios with social and environmental criteria. Anne-Maree has been at the forefront of integrating extra-financial information into the corporate governance and investment process. Anne-Maree successfully built analytical teams and capability in this field at NPI, Henderson Global Investors and Morley Asset Management. As Associate Director SRI at Morley she managed the integration of extra-financial analysis into the Corporate Governance Policy and Voting process. At NPI/Henderson, she launched the first Social Index in Europe and assisted in the management of the first Asia-Pacific Sustainable Development Fund. In addition Anne-Maree was on the internal advisory council for Aviva's Urban Regeneration property investment fund and for its China venture capital fund. Anne-Maree was on the judging panel for the ACCA Corporate Responsibility Reporting Awards for five years. She has a background in the food and pharmaceutical industries and holds a MSc. in Environmental Impact Assessment and a BSc. (NZ) in Microbiology and Zoology and the IMC for Investment Management.

WALT ROSENBERG — Vice President, Corporate, Social and Environmental Responsibility at Hewlett-Packard Company
Chair of the AHC Group Governance & Innovation Workshop


Walt Rosenberg is responsible for the development of HP's programs, policies and strategies in the areas of employee and customer data privacy, corporate business practices, and social and environmental responsibility. Rosenberg and his group work to establish innovative programs that support community development, customer and business needs. Rosenberg was named to his position in May 2002.

Prior to the merger with HP, Rosenberg served as the director of corporate environmental, health and safety for Compaq Computer Corporation. During his tenure at Compaq, Rosenberg was responsible for leadership and management of worldwide environmental, health and safety teams. He was named to this position in 1988. Before joining Compaq, Rosenberg spent eight years as an environmental health and safety specialist in the oil and semi-conductor industries with emphasis on air, water and hazardous waste permitting, waste minimization, auditing and risk identification and evaluation.

Rosenberg holds a bachelor's of science degree in environmental chemistry from Northern Arizona University and a master of science in environmental management from Southern Methodist University. Rosenberg is certified as an industrial hygienist in comprehensive practice by the American Board of Industrial Hygiene. He is also a member of the Air & Waste Management Association and the American Industrial Hygiene Association.


MR. HEWSON BALTZELL, President of Innovest
Chair of Shareholder Value Workshop


Mr. Baltzell is President of Innovest Strategic Value Advisors, Inc., and is a commercial and investment banker with a specialization in corporate and environmental finance. His recent consulting and advisory clients have included such leading Wall Street investment houses as Lehman Brothers. Prior to joining the Innovest Strategic Value Advisors, Inc., he served as a Vice President with Chase Manhattan Bank in New York City, where his responsibilities included the restructuring and securitization of the bank's multi-billion dollar real estate portfolio. Prior to his tenure at Chase Manhattan, Mr. Baltzell managed debt and equity portfolios for a privately held, foreign-owned investment company. His career in finance and investment has also included working in the international division of Mellon Bank. Mr. Baltzell holds an M.B.A. in Finance from the Wharton School of the University of Pennsylvania.


A. DWIGHT BEDSOLE: Chair of Site Remediation Workshop


As Business Director for the DuPont Corporate Remediation Group, currently provides leadership to a group chartered with the responsibility of managing the global environmental liabilities of DuPont. Over 34 years experience with DuPont in a variety of plant manufacturing, technical, project design/liaison and business roles. Business assignments included negotiating international joint ventures and acquisitions, facility planning for global sites, and the development of a long-term business strategy and plans for a $1 billion/year global business. Also worked closely with the US EPA and the United Nations to negotiate a chlorofluorocarbon (CFC) phase-out plan with the international community (i.e., the Montreal Protocol) to address global concerns regarding depletion of the earth's ozone layer. Led restructuring of DuPont global FreonŽ business, including the phase-out of existing products and introduction of alternative new products.

During the last 12 years in remediation Dwight participated in the formation and startup of a 100% DuPont subsidiary — DuPont Environmental Remediation Services (DERS) — to address DuPont internal remediation needs as well as external marketing of remediation services. Later participated in the dissolution of the 350 — person organization and restructuring of the DuPont Corporate Remediation Group to focus only on internal liabilities.

Represented the concerns of DuPont and industry over the onerous interpretation of environmental regulations through the presentation of testimony at state, federal, and public hearings. Participated in numerous state, federal, industry forums as a presenter and panelist on issues related to Superfund, RCRA, Cost/Benefit, Tort Reform, Brownfields, NRD, Risk Assessment, Eco-Assessments, and Sediments. Led and participated in numerous benchmarking efforts. Dwight is a graduate of Auburn University with a MS in Chemical Engineering.


Dennis R. Minano, AHC Group Senior Associate
Chair of Emerging Issues and Stakeholder Value Workshop Series


Dennis R. Minano currently acts as an advisor on energy, environment and transportation issues. He served as General Motors (GM) vice president of environment and energy and chief environmental officer until his retirement in 2002. He was elected, as Vice President by the GM Board of Directors in 1992, and in that position, was responsible for overseeing environmental and energy policies worldwide.

During his 30-year career at GM, Minano remained at the forefront of public policy debates affecting the transportation and energy industries. He joined the company in 1971 as an attorney involved in marketing, product liability, energy and environmental law. He was appointed practice area manager of the environmental and energy legal group in 1990, representing the company's interests on major national policy issues. During 1995 — 1996, he also served as vice president for GM Communications, helping to integrate communication with business strategy.

Minano was instrumental in establishing GM's environmental vision. Under his leadership, GM published its first Environmental Report in 1994, demonstrating a corporate commitment to public accountability. Since that time, the annual reports have addressed GM's accomplishments and challenges at its facilities and with its products in both environment and energy. During his tenure, GM's progress in advanced vehicle technology, creation of unique partnerships with organizations like The Nature Conservancy, and improved environmental and energy performance for GM facilities received wide recognition.

Minano currently chairs an energy and transportation group charged with formulating recommendations for future U.S. policy. In this role, he is building on his previous work with diverse stakeholders aimed at crafting new public policy through forums such as the Department of Energy's Partnership for a New Generation of Vehicle, President's Council on Sustainable Development and the Environmental Protection Agency's Superfund Evaluation Committee. He has published and spoken in public policy forums on issues involving technology, transportation, environment and energy.

Minano is also a member of the Keystone Center Board of Trustees and is Co-Chair of the Board's Science and Public Policy Committee. He is a member of the Board of Trustees of The Nature Conservancy of Michigan, the Board of Trustees of the University of Detroit Mercy, and the Board of Trustees of the Sonoran Institute. He holds a law degree from the University of Detroit Law School where he was adjunct professor of environmental law, and is a graduate of the University of Dayton (Ohio).


Alan Banks, MA — former AHC Group Senior Associate
Co-Chair of the Emerging Issues and Stakeholder Value Workshop Series


From January 2004 to January 2006, Alan Banks is a Senior Associate of the AHC Group.

Alan Banks, MA (Oxon), ACA is a senior executive with extensive international experience primarily in the financial services industry (management consulting, equity research, investment banking). Until January 1998 Mr. Banks was a Senior Investment Banker, latterly Managing Director and Head of the European Financial Institutions Group at UBS. Since then he has successfully led, as CEO, management buy-ins of two private companies: Bibliomania Ltd. and CoreRatings Ltd.

Mr. Banks' prime skill is the analysis and valuation of public and private companies. Through his leadership of CoreRatings he has become an acknowledged expert on corporate governance and on the environmental, social and ethical risks of corporate activity. As a Chartered Accountant with extensive knowledge of US GAAP accounting he is qualified to sit on the Audit Committees of US and UK public companies.

In December 2001, Alan Banks was appointed interim CEO of Global Risk Management Services, a specialist research company. He led the buy-out of this company in April 2002. After refocusing and increasing revenue using new analytical approaches he sold the business to Fitch Ratings, in September 2003.

In 1994 Mr. Banks joined the investment banking division of UBS, to set up their European Financial Institutions Corporate Finance group. In three years he built it to 25 professionals (12 different nationalities) and $28 million of annual revenues, leading more than 30 public equity, debt and M&A transactions with a total gross value of more than $50 billion.

Prior to UBS, In 1991 Mr. Banks joined the specialist financial institutions investment-banking group, Fox-Pitt, Kelton (now part of the Swiss Re group) as Executive Director, Corporate Finance. Working directly with the Chairman, he built up the investment banking function from scratch.

1987 made a Partner in the specialist financial institutions research firm, DIBC. DIBC's main business was benchmarking studies for international banks and strategic equity research carried out for Solomon Brothers (now Solomon Smith Barney, part of Citigroup).

Mr. Banks has an MA in Engineering Science from St. Edmund Hall, Oxford University. He is 48 years old.


STEVE W. PERCY, AHC GROUP SENIOR ASSOCIATE
& CHAIR OF EHS GOVERNANCE WORKSHOP


Steve Percy is the former Chairman and CEO of BP America, Inc., BP's US subsidiary prior to its merger with Amoco Corporation, and served in that capacity from 1996 until 1999. Prior to assuming those duties, he was President of BP Oil in the U.S. from 1992 to 1996, and since retiring from BP has also served as the head of Phillips Petroleum's Refining, Marketing and Transportation Company.

Mr. Percy returned to BP America from London, England where he served as Group Treasurer of The British Petroleum p.l.c. and Chief Executive of BP Finance International.

Born in 1946, Mr. Percy is a native of Cleveland, Ohio. He earned a Bachelor of Science in Mechanical Engineering from Rensselaer Polytechnic Institute; a Master's in Business Administration from the University of Michigan and graduated with a Juris Doctorate from Cleveland Marshall College of Law. He is a member of the Ohio State Bar.

Mr. Percy joined The Standard Oil Company in 1976 following service in the U.S. Army and several years with Babcock & Wilcox as a Senior Planning Analyst. By 1987, following the merger of BP and Standard Oil, Percy moved to London to become Manager, Oil Planning and Control in BP Oil International.

He is a member of the Board of Directors of Omnova Solutions, Inc. and the Advisory Board of Transtar International. Past corporate board memberships include GenCorp. Inc., and the Transonic Companies, and Key Bank International Association.

Mr. Percy currently serves on the boards of Resources for Future and Junior Achievement International. He is a member of the University of Michigan Business School Corporate Advisory Board, and the Advisory Board of its Corporate Environmental Management Programs, Rensselaer's Engineering School's Advisory Board and the Advisory Board of the Cleveland Marshall College of Law.

Previously, he has served as a member of President Clinton's Council on Sustainable Development in the role of Co-Chair of its Climate Change Task Force. Mr. Percy is married to Barbara, a math educator, and has two daughters, Amy-a graduate business student at the University of Michigan, and Sarah-who is a student at Middlebury College.


DR. BRUCE PIASECKI, AHC GROUP PRESIDENT AND FOUNDER


Professional History:

Dr. Bruce Piasecki is the President and Founder of the AHC Group, Inc., a management consulting firm specializing in energy, materials, and environmental corporate matters since 1981.

Dr. Piasecki is the author of five seminal books on business strategy, valuation, and corporate change, including the Nature Society's book of the year, In Search of Environmental Excellence: Moving Beyond Blame. His articles have appeared in the Los Angeles Times, Baltimore Sun, Technology Review, and the Christian Science Monitor.

Since 1990, Dr. Piasecki and his staff have run hundreds of benchmarking workshops for 42 multinational Corporate Affiliates, involving key executives in site remediation, power markets, emerging issues, and governance concerns since ENRON.

Since finding that his 1995 Corporate Environmental Strategy book attracted the attention of change agents and Board members in his client and affiliates network, Dr. Piasecki has moved the field of environmental and energy strategy closer to financial markets and mainstream financial diagnostics. The AHC Group has done this through a series of key alliances, including a multiyear agreement with INNOVEST and a new workshop series on Capital Markets and Trends, which has hosted IRRC, S&P, and GEMI as alliance partners.
